Business Description
Country of incorporation, main country of operation
The Company was incorporated and registered in England and Wales on 19th June 2013 under the Companies Act 1985 (as amended by the Companies Act 2006 or otherwise) as a Private Limited Company and with registration number 8576358. On 9th August 2013, the Company passed a special resolution pursuant to Section 43(2) Companies Act 1985 to re-register as a public company.

The Directors intend to apply the QCA Corporate Governance Code, where appropriate, taking into account the size, structure, and nature of Team Infra Labs.
Takeover Code
The Takeover Code is issued and administered by the Panel and governs transactions involving companies to which the Code applies. Where applicable, it provides shareholders with certain protections in relation to takeover and merger activities involving the Company.
Under Rule 9 of the Takeover Code, if an acquisition of shares increases the combined holding of the acquirer and its concert parties to 30% or more of the voting rights in the Company, the acquirer (and in certain circumstances its concert parties) would normally be required, unless the Panel consents otherwise, to make a cash offer for the remaining shares in the Company at a price not less than the highest price paid for shares by the acquirer or its concert parties during the previous 12 months.
This requirement may also apply if a person who already holds between 30% and 50% of the voting rights in the Company acquires additional shares that increase their overall percentage holding.
Restrictions on the Transfer of the Company’s AIM Securities
Insofar as the Company is aware, there are no restrictions on the transfer of its AIM securities.
